UAE Family Foundation: Complete Guide to Structure, Benefits & Setup
Most families who have built wealth in the UAE eventually ask the same question. What happens to the business, the villa in Dubai and the investments back home when we’re no longer around? And how do you stop it all turning into a family dispute?
For a growing number of expat families and high networth individuals, the answer is a UAE Family Foundation. It sounds complicated, but the idea is simple.
What Is a Family Foundation?
A Family Foundation is a separate legal entity created to hold and manage assets for your family. Think of it as a secure box with its own legal identity. You put in assets like company shares, property or investments, and the foundation looks after them by rules you set.
Unlike a company, a foundation has no shareholders. Nobody owns it. It exists only to serve the people and purpose you have named.
Foundations can be set up in three UAE jurisdictions: DIFC (Dubai International Financial Centre), ADGM (Abu Dhabi Global Market) and RAK ICC (Ras Al Khaimah International Corporate Centre). DIFC and ADGM follow English common law, which many international families find reassuring.
How Is It Structured?
Every foundation is built around a few key roles:
- Founder: the person who sets up the foundation and transfers assets into it.
- Council: a small group, often family members plus a trusted advisor, that manages the foundation. It works much like a board of directors.
- Beneficiaries: the people who benefit, usually children, grandchildren or other relatives. A foundation can also support charitable causes.
- Guardian: an independent person who keeps an eye on the council. Optional, but many families appoint one.
The rules sit in two documents. The charter is the founding document, while the by-laws set out the details: who gets what, when and how decisions are made.
Key Benefits of a UAE Family Foundation
1. Smoother succession. Assets in your personal name can get stuck with courts and banks after you pass away. Assets inside a foundation simply carry on under the rules you’ve already written.
2. Asset protection. Because the foundation is its own legal entity, its assets are kept separate from personal and business risks. This only works when the structure is set up properly and in good faith, not as a way to dodge existing creditors.
3. Keeping the family business together. Instead of company shares being split between several heirs, the foundation can hold them as one block. The business keeps running and the family still benefits.
4. Corporate Tax efficiency. This is the part most people miss. Under UAE Corporate Tax, a foundation is taxable by default. However, Article 17 of the Corporate Tax Law lets a qualifying Family Foundation apply to the Federal Tax Authority to be treated as tax-transparent, meaning the foundation itself does not pay Corporate Tax. It is not automatic. The foundation has to meet the conditions, including not being set up mainly to avoid tax and must register and apply through EmaraTax.
How to Set Up a UAE Family Foundation
The process is simpler than most people expect:
- Set clear goals. Decide what you want the foundation to do: succession, asset protection, philanthropy, or a mix of all three.
- Choose the jurisdiction. RAK ICC is usually the most economical, DIFC the most premium and ADGM sits in between.
- Draft the charter and by-laws. Take your time here. Vague by-laws are the most common cause of family disagreements later.
- Appoint the council and guardian. Pick people you genuinely trust.
- Register and transfer assets. Once approved, move shares, property and accounts into the foundation’s name. Registration usually takes a few weeks.
- Sort out tax and compliance. Register for Corporate Tax, apply for Family Foundation treatment if you qualify and keep proper accounts every year.
Is It Right for You?
A foundation makes the most sense if you own a family business, hold property in more than one country, have significant investments, or have children living in different parts of the world.
